Considering the serious impact of the earthquake off the Pacific coast of the Tohoku (North East) region on March 11th to the listed companies, in order to provide the flexible measurements to such companies, the TSE would like to notify on the handling of the financial announcement, etc. as follows.
1. Earnings Announcement
(1) The Timing of the Announcement
For the full year and quarterly earnings announcements, if it is difficult to fully prepare and disclose the financial results promptly, please disclose the financial results as soon as they are confirmed in defiance of the need to meet the deadline of “within 45 days”.
If the disclosure for earnings delays considerably due to the earthquake, please consider to make an announcement about the delay (as well as the disclosure timing if it is possible) to inform of investors.
(2) Earnings Forecast in Financial Results
In case of having difficulties to provide the earnings forecast due to the earthquake, earnings forecast is not needed to disclose in financial results and quarterly financial report.
2. Application of Criteria for Delisting for Delay in Submission of a Securities Report or a Quarterly Report
The Cabinet Order has been enacted that due to the earthquake, in case of failure in submission of a Securities Report, etc, by the deadline, Special Measures will be applied.
In the regulation of the TSE, if the listed company delays in submission of a Securities Report or Quarterly Report (hereinafter “Securities Report, etc”), the company will be designated as a security under supervision, and the TSE will confirm if the company violates the delisting criteria or not. However, for the listed companies which the Special Measures has been applied, in accordance with the regulation of the TSE, the submission deadline stipulated by the Cabinet Order shall be applied as the deadline for submission of Securities Report, etc.
If the case above is applied, there is no need to disclose the information that the Special Measures will be applied due to the failure in submission of a Securities Report, etc by the deadline.
* In case that the Special Measures will be applied to the company, please notify to the TSE.
3. Application of Criteria for Delisting due to “opinions are not expressed”
In case that “the opinions are not expressed,”etc. is stated, due to the earthquake, in an audit report attached to financial statements, etc. or a quarterly review report attached to quarterly financial statements, etc., the company will not be designated as a security under supervision or delisting. There is no need to disclose such information either.
