CBOT Holdings, Inc. (NYSE: BOT) today announced it has received a request for additional information (a "second request") from the United States Department of Justice (DOJ) in connection with its pending merger with Chicago Mercantile Exchange Holdings Inc. The second request, which was not unexpected, will extend the initial waiting period under the Hart-Scott-Rodino Antitrust Improvements Act (HSR) during which the DOJ is permitted to review a proposed transaction until 30 days after the parties have substantially complied with the request, unless that period is terminated earlier by the DOJ. CBOT Holdings is in the process of gathering information to respond promptly to the second request and intends to work closely with the DOJ as it conducts its review.
Pending approvals by regulators, and shareholders of both companies and CBOT members, as well as completion of customary closing conditions, CBOT Holdingscontinues to expect the transaction to close by mid-year 2007, as previously announced.
