The advisory functions carried out by Rothschild are meant to confirm that the indicative, non binding price as well as the definitive price for the Offering are set following the habitual practices followed in this type of transactions and reflect a fair market value for BME, as established by the financial valuation methods considered most appropriate to these purposes.
The Global Coordinators of the operation are the banks BBVA and Santander Investment. In addition, BNP Paribas, Merrill Lynch and Morgan Stanley will lead the international tranche (Bookrunners).
BME is also being advised by the following law firms: Ramón y Cajal, Uría & Menéndez and Davis Polk & Wardwell.
Bolsas y Mercados Españoles has called an Extraordinary General Meeting for June 5th. One of the items on the Agenda of the meeting will be the discussion and, if appropriate, approval of the company’s public share offering and flotation.
