To facilitate the application of recommendations and areas for consideration put forward by the AMF in relation to corporate governance and executive compensation in companies referring to the AFEP/MEDEF code, these have been combined and summarised in a single document entitled “AMF recommendation no. 2012-02”.
This document consolidates the vast majority of recommendations and areas for consideration published by the AMF since 2009 and contained in the following documents:
- the 2010 and 2011 reports on corporate governance and executive compensation (AMFrecommendation no. 2011-17)
- the 8 December 2009 report on corporate governance and internal control
- the 9 July 2009 report on executive compensation in listed companies and implementation of theAFEP/MEDEF recommendations
The AMF has decided not to include the following in this consolidated document:
- recommendations that apply specifically to companies referring to the Middlenext code, which will be covered by a specific future document
- recommendations aimed at companies not referring to any code, which were issued for the firsttime when the December 2011 report was published
- recommendations on internal control, the bulk of which are contained in an AMF recommendation issued on 22 July 2010 on the reference framework for internal control and the guide applicableto small and mid cap companies
