The Board of Directors of Bolsas y Mercados Españoles, Sociedad Holding de Mercados y Sistemas Financieros, S.A. (“BME”), has agreed at a meeting held today, 25 July 2007, to appoint, by co-option, the following shareholders to the Board of Directors:
- Mr. Ricardo Laiseca Asla, Global Head of Global Markets and Distribution, Banco Bilbao Vizcaya Argentaria, who replaces Mr. José María Abril Pérez at the Board of Directors of BME. Mr Abril Pérez tendered his resignation as a BME Director on 17 July 2007.
- Mr. Mariano Pérez Claver, Chief Executive Officer, Corporación Financiera Caja de Madrid and General Manager, Caja de Ahorros y Monte de Piedad de Madrid (Caja Madrid), who replaces Mr. Carlos Vela García-Noreña, who tendered his resignation on 12 July 2007.
Both Directors are in the same classification as the ones whom they are replacing, that is, independent, and they will be in office until the next Annual General Meeting of the company.
These appointments, which are subject to the authorization by CNMV, the Spanish stock market regulator, have followed a favourable report by the Appointments and Remuneration Committee, in accordance with the by-laws of the company.
During the above mentioned meeting the Board of Directors also appointed Mr. José A. Barreiro Hernández first Deputy-Chairman of the company, replacing Mr. Abril Pérez.
