NYSE Group, Inc. Announces Pricing Of Secondary Offering Of Common Stock

NYSE Group, Inc. (NYSE: NYX) today announced the pricing of an underwritten public offering of 25,000,000 shares of NYSE Group common stock at a price of $61.50 per share. NYSE Group is not selling any shares of NYSE Group common stock in the offering and will not receive any proceeds.

The public offering reflects the sale of shares by existing holders of NYSE Group restricted stock, including certain underwriters and their affiliates and certain executive officers of NYSE Group. JPMorgan, Lehman Brothers, Merrill Lynch & Co. and Morgan Stanley & Co. Incorporated are the global coordinators for the offering. The selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 3,750,000 shares of common stock to cover any over allotment at the public offering price.
