This dividend for business year 2002 is thus 22 percent higher than in the previous year. Of the distributable profit totaling 70 million euros in financial 2002, 49.2 million euros will be distributed, roughly 33 percent more than for the year 2001. The remaining 20.8 million euros from the distributable profit will be allocated to the retained earnings.
The general meeting newly elected the Supervisory Board as part of the regular term rotation. At its constitutive meeting, the members of the Supervisory Board elected Rolf-E. Breuer chairman of the Supervisory Board, Manfred Zaß was elected deputy chairman of the Supervisory Board.
The shareholders of Deutsche Börse also approved an increase to the authorized share capital. The general meeting approved authorized share capital of 14.8 million euros. This measure replaces the authorized share capital II from May 2001, which was used in part to finance the Clearstream acquisition. Together with the authorized share capital I amounting to 41.1 million euros from May 2001, the authorized share capital now again makes up 50 percent of the subscribed capital of 111.8 million euros.
In addition, the general meeting authorized the Executive Board to issue warrants and/or convertible bonds with a maximum volume of 1 billion euros, with approval from the Supervisory Board, and up to 3 million subscription rights for a program for staff participation. Finally, the annual general meeting authorized Deutsche Börse to purchase its own shares until 30 September 2004 amounting to a maximum of 10 percent of the share capital.
